
## Action Speaks - Terms of Use

The Action Speaks platform made available to you at www.actionspeaks.com aims to showcase impactful climate solutions that inspire and accelerate further action (the “Platform” or “Website”). Organised into different sections focusing on how we power, eat, make, move, grow, and finance, the Platform enables the sharing of Good Examples that can inspire others to take action from learning, copying or adapting these solutions.  The Platform is hosted on WEF Forum Spaces provided by the World Economic Forum and operated by Ingka Services AB (“Action Speaks”, “we”, or “our”).  Please read these Terms of Use carefully as they apply to you as an individual and/or the organisation on behalf of which you are accepting these Terms of Use (“you”, “your”) and its relationship with Action Speaks. These Terms of Use refer to the following additional terms, which also apply to your use of our Website: our Privacy Notice which explains how we collect, use and store your personal data, and our Cookie Policy which sets out information about the cookies on our Website. These Terms of Use contain conditions, disclaimers, and other provisions, some of which limit Action Speaks’ liability. Any person who does not agree or comply with these Terms of Use should not access or use the Website, submit to become a Follower and/or apply to become a Member.  We keep these Terms of Use updated and amend them from time to time, so remember to check back when you visit the Website, as the latest version of the Terms of Use will apply, and any amendments will be effective immediately. This means that if you provide Good Examples or interact with others on the Website following an update of the Terms of Use, we will interpret this as your acceptance of such revised updated terms.


## Definitions

When used in these Terms of Use, the following terms will have the meanings given to them below:  “Competitively Sensitive Information” means information relating to price, elements of price or price strategies, customers, production costs, quantities, turnover, sales, capacity, product quality, marketing plans, risks, investments, technologies, and innovations. “Follower” means a legal or natural person who has subscribed to the Action Speaks newsletter, through the Website, to receive information on Action Speaks. “Good Example” means a case study on a climate action initiative submitted by a Member, verified by our Partner, to be published on the Platform. “Member” means the legal entity which has been accepted as a member of Action Speaks. “Partner” means a third party with whom we have a relationship, including consultants, universities, and other organisations. “Platform” means this platform made available to you via the Action Speaks Website under the domain name http://www.actionspeaks.com. “Platform Data” means the output of the User Content uploaded onto the Platform produced through Action Speaks or a Partner’s analyses of User Content, including but not limited to, insights, reports, and presentations. “User Content” means all data that you provide us with, including but not limited to data provided via the Platform and/or submission forms and any content posted or made available by you on Action Speaks.


## 1. Our Website

When visiting the Website, you can browse and get inspired by the Good Examples posted by our Members, signup to become an Action Speaks Follower, apply for a membership to the Action Speaks community, and/or to sign up to attend public events. The Website contains features and other applications that may be available from time to time.


## 2. Become an Action Speaks Follower

If you would like to become an Action Speaks Follower and receive updates on our events and our community, register your contact details by filling out the form under the tab ‘Get Involved’. By signing up to get involved, you share your contact details, which means that we will store and process your personal data. Please read our Privacy Notice for more information.


## 3. Membership

As a Member of Action Speaks, you will have full access to all the features of our Website. You will be able to submit Good Examples for us to verify, connect and collaborate with peers, contribute to and engage with a growing knowledge hub, initiate and participate in working groups and discussions, as well as participate in upcoming events. To become a Member of our community, please fill out the membership request form. If your application is approved, you will become a member of Action Speaks. Only legal entities such as companies, non-governmental organisations (NGOs) and non-profit organisations (NPOs), can become members of the Action Speaks community. When you apply for membership for your organisation, you represent and warrant that you have the right to represent your organisation and that the organisation is duly organised, validly existing and in good standing under the laws of the jurisdiction of its origin. You further agree that you will provide truthful and accurate information in the application. In the submission form we will ask you to provide information about the entity applying for membership to see if it’s a good fit with Action Speaks. The questions aim to confirm that your organisation is i) not involved in any activities that may pose any risk(s) to the broader community, ii) transparent about any existing and/or historical legal proceedings related to greenwashing and/or the environment, and iii) working on its sustainability journey. We might amend the membership criteria from time to time at our own discretion. The acceptance of your registration is at our discretion, and we may reject or revoke a registration at any time without justification.  We trust you to keep your e-mail and contact details up to date. You agree to designate contact details to at least one person within your organisation and provide us with name and email address, which can be published on our Website and/or shared with other members to facilitate communication between members. You are responsible for all activities that occur on your Action Speaks account and for maintaining the confidentiality of your login credentials and your account information. Please remember to log out from your Action Speaks account after the end of each session. Your Action Speaks account will be tied to the e-mail address that you have registered in your membership application. In case you need to update the e-mail address, please get in touch by using the contact details at the end of these Terms of Use. Submitting a membership application means that we will store and process your personal data. Please read our Privacy Notice for more information. You may not register to use the Platform if your account was previously cancelled due to you being in breach of these Terms of Use or any prior versions of the Terms of Use.


## 4. Share your initiatives with us

We encourage our Members to share their initiatives with us so that we can verify them and promote them as Good Examples on the Platform.  Submit an initiative If you are a Member and want to share an initiative with us, please use the submission form. In case you nominate and submit a third party initiative, we will ask you to share contact details to that third party in order for us to verify the submitted initiative and content. We appreciate it if you take your time to provide as detailed information as possible as it will help us validate it and expedite the validation process. By submitting the initiative, you confirm that the information provided in the application is truthful and accurate. Validation of initiatives Before we publish any initiatives as Good Examples on Action Speaks we will validate the information submitted in your application. When you submit your initiative, you accept that we will share it with our Partners for the purpose of validating it based on criteria set by us. In case we need more information from you, we will get in touch with you. We will make sure that our Partners are subject to appropriate duties of confidentiality when handling your initiative. What happens next? After the validation process, we will reach out to you to let you know if your initiative fulfills the criteria stipulated by us to become a Good Example or not. If the initiative was verified, it is considered a Good Example and Action Speaks will prepare the initiative to be published as a Good Example on the Website. In doing so, our copy-writer will use the information you provided us with, and they might use information publicly available from your website and/or press and media articles related to the initiative. Before we publish the Good Example, we will share the final version of the Good Example with you. We will give you two weeks to review the copy and/or share any comments on it for us to consider. In case we don’t hear from you and/or you disapprove, the Good Example will then be published on the Website.  In case the initiative did not meet the validation criteria, it will not be published. After publication, in case you wish to add more information about the Good Example, e.g. progress and/or updates, please get in touch with us. It is in our discretion to decide if we think the additional information is relevant and whether it should be published with the Good Example.  Did you change your mind? Things happen, and if you for any reason would like to revoke your submission of an initiative or the Good Example and/or ask us to take it down from the Platform, please get in touch with us.


## 5. User Content

Whenever you share User Content with us, you warrant that any such contribution complies with the standards set forth herein, and you are liable to indemnify us for any breach of that warranty. This means that you will be responsible for any loss or damage we suffer as a result of your breach of warranty. You are solely responsible and liable for the completeness, integrity, quality, and accuracy of all User Content. Don’t upload or post anything that is illegal or confidential and remember to only share photos and pictures that you have a right to share. Action Speaks has a right to use all content on the Platform for its own business-related purposes. If you see any inappropriate and/or illegal content uploaded by someone else, please report it to us! If you would like to share User Content you agree to: not share User Content which is illegal, harmful, threatening, abusive, harassing, tortuous, defamatory, vulgar, obscene, that may be invasive of a third party’s right of privacy or publicity, racially or ethnically hateful, or otherwise objectionable; only share User Content that you have a right to share (i.e. don’t share any information that you have an obligation to keep confidential); supervise and control use of the Platform and ensure that the Platform is used by employees and representatives in accordance with these Terms of Use (in case you become aware of any unauthorized access or use – notify us immediately); not share photos of or information about someone else, unless you have secured that you have that person’s consent to share the information; not share User Content that infringes any patent, trademark, trade secret, copyright or other intellectual property or proprietary rights of any party; not use Action Speaks for the purpose of sending unwanted email, comments, or other content (“Spam”) and other types of unsolicited advertising and solicitation. Action Speaks reserves the right to remove, at any time and without notice, User Content and accounts which contain content that we determine in its sole discretion is unlawful, offensive, threatening, libelous, defamatory, obscene or otherwise objectionable or violates any party's intellectual property or these Terms of Use, or which we otherwise deem is inappropriate or does not belong at Action Speaks. However, we are not obliged to verify, authenticate, monitor, or edit the User Content or any other information or data provided to us.  In exchange for your use of Action Speaks, and to the extent that your User Content gives rise to any intellectual property right interests, like copyright, patent rights, design rights etc., you hereby grant to Action Speaks an irrevocable, worldwide, royalty free, perpetual license to use and modify such User Content, for any purpose, including a right to reproduce, manufacture, copy, adapt, crop, modify, perform, display, publish, sell, broadcast, transmit, or communicate to the public by any means and in any media whether now known or unknown and distribute your User Content. Additionally, as a Member, we may ask you to grant us the right to use your organisation’s logo (“Member Logo”) on our Website and in other promotional materials. In case such consent is given, you represent and warrant that you have the right to grant this permission and that the use of the Member Logo as described will not infringe any third-party rights.  Action Speaks takes no responsibility and assumes no liability for any User Content that you or any other person or third party posts or sends (including the Good Examples) using the Platform. Although we do our best to support the safety and wellbeing of our community by reviewing all User Content on the Platform, you understand and agree that you may be exposed to User Content that is inaccurate, objectionable, inappropriate or otherwise unsuited to your purpose, and we make no representations, warranties or guarantees, whether express or implied, that the content on our Website is accurate, complete, or up to date. If you find anything inappropriate or anything you think may be illegal, on the Platform, please report it to us by sending an email toactionspeaks@ingka.ikea.com.


## 6. Things we ask you not to do

We know it’s obvious, but when you interact with the Platform, for example as a visitor to our Platform or as an Action Speaks Member, you must not: harass, stalk, scam or threaten any other users in the Action Speaks community, steal other users’ data and represent someone else’s ideas or work as your own; misuse or tamper with the Platform or the features and services that you get access to through your membership account (e.g. hack the Website, introduce viruses, trojans, worms, logic bombs or other technologically harmful material or carry out denial of service attacks etc.) or otherwise mess with our technologies or functionalities; copy or download any content from the Platform unless you are expressly authorized to do so; intentionally or unintentionally violate any applicable local, national or international law, rule or regulation that apply to your access or use of the Platform; and use the Platform to promote your business and/or to sell any items or services, whether physical or digital. If we see that you are using the Platform in breach of these Terms of Use or in a way which is otherwise not acceptable to Action Speaks, we reserve the right to immediately exclude you from the community and delete your membership account without notice (unless we’re legally obliged to give you a prior warning). However, we will inform you of this decision and explain the reasons thereof. Furthermore, we reserve the right to, at our own discretion, monitor and/or remove content from the Website. We may also report any breach or illegal activity to the relevant law enforcement authorities and take any necessary action.


## 7. Competition law guidelines

As the Members in our community represent different organisations and corporations, it is important that any meetings and/or interactions and any exchanges of opinions and experiences do not interfere with the competitive relations that may exist among Members. As a Member, you commit to strictly agree to these guidelines, and you will not discuss Competitively Sensitive Information in any interactive format hosted by Action Speaks.  Examples of Competitively Sensitive Information: price and cost: actual, future, hypothetical, including trends, discounts, rebates and margins (purchasing, selling, or recruiting); terms and conditions: purchasing, selling, selecting business partners; business: division or allocation of geographies or customer groups, sales volumes or market shares and limitations on business methods including those based on ethical or “fair” business practices; and production: current or future levels of production and specific technological developments or changes that could have a competitive impact.  You cannot i) discuss Competitively Sensitive Information with other Members; ii) recommend, exchange, or agree on matters containing Competitively Sensitive Information, including refusal to deal; or iii) refuse to deal with customers or suppliers or agree to deal on specified terms or policies.  To avoid situations where Competitively Sensitive Information is shared, prepare any interactions with an agenda known to all participants, object if something is unclear or may appear competitively sensitive. Feel free to exchange, share, discuss for example climate issues, initiatives and actions, the global climate situation and how it impacts the global economy and society as well as common problems and challenges of a general, administrative or logistical nature. Terminate or leave a situation if you consider that Competitively Sensitive Information is being discussed.


## 8. Intellectual property rights

All proprietary rights relating to any User Content (including but not limited to third party links, content or resources) published on the Platform, remain with the original source or the author(s) of that material and where any content has been commissioned by Action Speaks for publication on the Platform, any proprietary rights in such content remain with the relevant author, unless otherwise agreed or specified.  If you find that any content on the Platform (whether User Content or otherwise) infringes your intellectual property rights, you can flag the content by contacting us at actionspeaks@ingka.ikea.com. Please note that you should only flag content if you are the rights holder or an agent thereof. Except for User Content, all title, ownership, rights, and intellectual property rights in and to Platform Data, the Platform and the Action Speaks brand shall remain with Ingka Services AB. This includes all text, graphics, photographs, logos and/or other items that appear on the Platform. You may not use the Action Speaks logotype or likeness without prior consent.


## 9. Changes to Action Speaks Platform

Don’t be surprised if the Platform looks different every time you visit. This exciting initiative has just been launched and we are trying new things to improve the experience. This means that Action Speaks may be unavailable at times when we perform maintenance or something unforeseen has happened and that features may appear or disappear as we continue to evolve the Platform. In addition, service interruptions will happen from time to time for both foreseen and unforeseen reasons. We will not be liable for any interruption of Action Speaks, delay or failure to perform resulting from any causes whatsoever.


## 10. Termination and suspension

We would be sad to see you go, but if you want your organisation to leave Action Speaks, you can do so by simply deleting the Membership account at any time. If you are a Follower and no longer want to receive information/news from Action Speaks, you can opt-out at any point by contacting us by e-mail to actionspeaks@ingka.ikea.com stating your organisation’s name, your name and tell us that you no longer want to be part of Action Speaks. Even if you as a Member opt-out as a Follower, your membership will remain until you have deleted your account. In case you commit a material or persistent breach of these Terms of Use which you fail to remedy within 14 days after we have notified you to do so, we may terminate your membership and/or your right to use the Platform, which will lead to all rights granted to you under these Terms of Use will cease and you will immediately cease all activities authorized by these Terms of Use.  We reserve the right to suspend your access to the Platform if i) necessary to comply with relevant laws, ii) if we determine that your use of the Platform is in violation of these Terms of Use, or poses any security or vulnerability risk to Action Speaks or the Platform, and/or iii) if we determine that you have acted in a way which risks our and our Partners’ reputation.


## 11. Disclaimer

The Platform is provided “as is” and “as available” with no express or implied warranties of any kind, including but not limited to, any implied warranties of fitness for a particular purpose, merchantability, non-infringement and title. Action Speaks disclaims any and all liability for the acts, omissions, and conduct of any third parties in connection with or related to your use of the Website. You assume total responsibility for your use of the Website and any linked sites.  Action Speaks use reasonable endeavours to ensure that information on the Platform is accurate and complete, but we do not guarantee the correctness, completeness, up-to-datedness or quality of the information provided on the Website. Use of the Platform and Platform Data is at your own risk and neither Action Speaks nor any Partner accept any liability for loss or damage suffered by you arising from your use of the Platform, any information contained on the Platform or the Platform Data.  Where our Website contains links to other sites, contact information and resources provided by third parties, this is provided for your information only. Such links should not be interpreted as approval by us of those linked Websites or information you may obtain from them.  Please be aware that the information published on the Platform and in the Platform Data is not necessarily tailored to your individual situation and, as a result, the information may be unsuitable for you. No part of the Platform or Platform Data is intended to constitute advice and the content of the Platform or Platform Data should not be solely relied upon when making any decisions or taking any action of any kind. Action Speaks is not liable for any damage or corruption caused by viruses (or similar mechanisms such as worms, lock outs, metering, or self-destruct mechanisms) on computers or other terminal equipment in connection with visiting, using and/or downloading data of any kind from the Website.  In case we are obligated to share certain data and information (including User Data or Platform Data) by law, on the request of a competent authority, we will do so.


## 12. Limitation of Liability

Action Speaks is not under any circumstances liable to you, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, arising under or in connection with these Terms of Use for the loss of profits, sales, business or revenue (direct or indirect); business interruption; loss of anticipated savings; wasted expenditure; loss or corruption of data or information; loss of business opportunity, goodwill or reputation; or any special, indirect or consequential loss, damage, charges or expenses. Other than the losses set out in this paragraph (for which we are not liable), our maximum aggregate liability under or in connection with these Terms of Use whether in contract, tort (including negligence) or otherwise, shall in all circumstances be limited to €100.  These Terms of Use set out the full extent of our obligations and liabilities to you in respect of the provision of the Platform and Platform Data and any ancillary services thereto. We do not exclude or limit in any way our liability to you where it would be unlawful to do so. You agree to defend, indemnify and hold Action Speaks harmless from any losses, liabilities, damages, actions, claims or expenses (including reasonable legal fees) arising or resulting from your breach of any term of these Terms of Use.


## 13. Miscellaneous

We may assign, subcontract and otherwise transfer our rights and obligations under these Terms of Use to any other legal person, but this will not affect your rights or our obligations under these Terms of Use. You may only transfer your rights or your obligations under these Terms of Use to another person if you have received our written consent. These Terms of Use constitute the entire agreement between us and supersedes any and all previous agreements, promises and understandings between us, whether written or oral, relating to its subject matter. A waiver of any right or remedy is only effective if given in writing and shall not be deemed a waiver of any subsequent right or remedy. Each of the clauses of these Terms of Use operates separately. If any court or competent authority decided that any of them are unlawful or unenforceable, the remaining clauses will remain in full force and effect.


## 14. The end

If we discover that things are not working out the way we planned or if something else happens, we may decide to change all or parts of Action Speaks or end it completely. We will of course keep you informed of all such changes and will communicate with you by email.


## 15. Governing Law

These Terms and Conditions are governed by Swedish law, without respect to its conflict of laws principles. Any claim, dispute or controversy arising out of or in connection with these Terms and Conditions shall be subject to the exclusive jurisdiction of the Swedish courts. If you have complaints or would like to appeal a decision made by Action Speaks to remove content on the Website, we encourage you to reach out to us directly to give us the chance to address your concerns.
